Bharat Forge Invests Rs 240 Crore in KSSL, Plans to Establish Ammunition Shell-Filling Facility

Bharat Forge’s Rs 240-crore capital infusion into its defence subsidiary Kalyani Strategic Systems, to direct up to Rs 163 crore towards an ammunition shell-filling facility through its subsidiary Agneyastra Energetics

Bharat Forge has invested ₹240 crore in Kalyani Strategic Systems Limited (KSSL), its wholly owned defence subsidiary, through a rights issue at fair value. KSSL plans to channel up to ₹163 crore of that amount into Agneyastra Energetics Limited (AEL), its wholly owned subsidiary, to establish a facility for filling ammunition shells with explosives. The two investments are intended to strengthen the group’s presence in defence manufacturing, while the new facility’s operational start date and production capacity have not been disclosed.

The funding follows approval by Bharat Forge’s board on August 10, 2026. The company said the ₹240-crore investment in KSSL would be funded from proceeds of its qualified institutional placement (QIP) and internal accruals. KSSL will subscribe for AEL shares in one or more tranches, also through a rights issue at fair value. Bharat Forge’s filing states that the investment in AEL is expected to be completed by September 30, 2027, while KSSL’s allotment of shares to Bharat Forge is due on or before October 31, 2026.

The transaction keeps KSSL’s ownership of AEL at 100%. Bharat Forge described the investments as related-party transactions to be conducted on an arm’s-length basis. It also said that no promoter, promoter-group member or group company has an interest in the transactions, and that no government or regulatory approvals are required. AEL reported no turnover for the year ended March 31, 2026, reflecting its early stage as a company established to develop energetics and ammunition-filling capabilities.

AEL was incorporated in July 2025. Its stated business includes manufacturing high-energy explosives, gun propellants and rocket propellants, as well as filling heavy- and medium-calibre ammunition shells with high explosives. Pour filling involves placing explosive material into an ammunition shell as part of the filling process. Bharat Forge’s announcement describes the proposed project as a shell pour-filling facility; it does not specify the ammunition types, output volumes or customers it will serve.

The proposal fits into a larger expansion by the group in defence energetics. In 2025, AEL acquired nearly 950 acres at Madakasira in Andhra Pradesh’s Anantapur district for a defence manufacturing complex. Plans reported for the site include high-explosives production, ammunition filling and gun-propellant manufacturing, with potential future expansion into rocket and missile energetics.

Bharat Forge broke ground on a wider ₹1,500-crore defence manufacturing project in the state in May 2026. The ₹163-crore investment announced now is a specific funding commitment for AEL; it should not be mistaken for the total cost of that broader development.

big bang

The move comes as Bharat Forge builds its defence business alongside its established automotive and industrial operations. In its first-quarter FY27 update, the company reported a defence order book of ₹11,196 crore at the quarter’s end and said it had secured ₹681 crore of defence orders during the quarter. The figures indicate a sizeable pipeline for the business, but they do not establish that orders will translate directly into demand for AEL’s proposed ammunition facility.

KSSL has also been broadening its defence partnerships. In September, it announced arrangements with Thales for local production of 70mm rocket systems and with FN Herstal to explore potential Indian manufacturing cooperation in small arms and other defence systems. Those initiatives, alongside the energetics investment, suggest a strategy spanning both equipment and ammunition-related production. Whether they deliver sustained commercial returns will depend on project execution, customer demand and the conversion of defence orders into revenue.

huges

For now, the key milestones are completion of the funding tranches, establishment of the facility and eventual qualification of its production for customers. The announcement strengthens Bharat Forge’s planned manufacturing capacity, but leaves unanswered when the site will begin operating, what its output will be and how quickly AEL may generate revenue.
